Terms of Service

Vaklipi is an audio and video transcription service operated by NAP Designs (“Vaklipi”, “we”, “us”). By creating an account or otherwise using vaklipi.napdesigns.com and any related services (the “Service”), you agree to these Terms of Service (“Terms”). If you do not agree, do not use the Service. Our Privacy Policy explains how we handle your data and is incorporated into these Terms by reference.

You must be at least 18 years old and capable of forming a binding contract under Indian law to use the Service. By using Vaklipi you represent that you meet these requirements and that any content you upload is uploaded lawfully.

• You are responsible for keeping your login credentials confidential and for all activity under your account.
• Notify us immediately at hello@napdesigns.com if you suspect unauthorized access.
• Provide accurate account information and keep it up to date.
• One account per person; accounts may not be shared, sold, or transferred without our written consent.

You agree not to, and not to permit others to, use the Service to:

• Upload content you do not have the legal right to upload, transcribe, or process.
• Upload illegal content, child sexual abuse material, or non-consensual recordings.
• Infringe another person’s intellectual property, privacy, or publicity rights.
• Reverse-engineer, scrape, or attempt to extract the underlying models or source code of the Service.
• Probe, overload, or attempt to disrupt the Service’s infrastructure.
• Circumvent free-tier limits, rate limits, or usage caps through automation or multiple accounts.

Free-tier limits are enforced automatically. Violating this section may result in content removal, rate-limiting, or suspension or termination of your account under Section 11.

Ownership. You retain all ownership rights in the audio, video, and other files you upload (“Source Content”) and in the transcripts, chapters, translations, summaries, and other outputs generated from it (“Output”). We claim no ownership over your Source Content or Output.

License to us. You grant NAP Designs a limited, non-exclusive, worldwide license to host, process, transmit, and display your Source Content and Output solely to provide and improve the Service — including sending audio to the third-party engines listed in our Privacy Policy to generate your transcript. This license ends when you delete the content or your account, subject to the retention terms in the Privacy Policy.

Your responsibility. You are solely responsible for the content you upload, including obtaining any consent required by law from other people recorded in it (for example, other participants in a meeting or call).

No training on your content. Consistent with our Privacy Policy, we do not use your Source Content or Output to train any machine-learning model.

Transcripts and AI-derived outputs (summaries, chapters, translations, redactions) are produced by automated speech-recognition and language-model engines, including third-party engines such as Sarvam AI and Groq. Accuracy varies with audio quality, accents, background noise, and language. Vaklipi does not guarantee 100% accurate transcripts or AI output, and you should review AI-generated content before relying on it for any legal, medical, financial, or otherwise consequential purpose.

The Service is currently offered as a free beta with usage limits described on our pricing page. No charges apply during free beta. When a paid “Pro” tier launches, fees, purchased minutes, and refund handling will be as described on the pricing page at the time of purchase and processed through Razorpay. Minutes charged for jobs that fail entirely are refunded automatically to your account balance. We may change free-tier limits or introduce paid tiers at any time; material changes will be reflected on the pricing page.

The Vaklipi name, logo, website, and the underlying software, models, and design are owned by NAP Designs or its licensors and protected by intellectual-property laws. These Terms grant you no rights to our trademarks, branding, or source code beyond the limited right to use the Service as intended.

The Service relies on third-party infrastructure and AI providers to function — including hosting, storage, and transcription engines. These are listed with their purpose and region in our Privacy Policy. We select and vet these providers but are not responsible for outages or errors originating solely on their end; where those affect your jobs, we apply the refund handling in Section 7.

The Service is provided on an “as available” basis. We aim for high uptime but do not guarantee uninterrupted or error-free operation, particularly during free beta. We may perform maintenance, change features, or modify the Service at any time.

You may delete your account at any time from account settings; this triggers the deletion process described in our Privacy Policy. We may suspend or terminate your account if you violate these Terms, misuse the Service, or where required by law, with notice where reasonably practicable. Sections that by their nature should survive termination — including Sections 8, 12, 13, 14, and 15 — continue to apply after your account is closed.

To the maximum extent permitted by law, the Service and all Output are provided “as is” and “as available,” without warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, or that the Service will be uninterrupted, secure, or error-free.

To the maximum extent permitted by law, NAP Designs will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising from your use of the Service. Our total aggregate liability for any claim arising from these Terms or the Service is limited to the amount you paid us in the 12 months preceding the claim, or ₹5,000 if you are on the free tier. Nothing in these Terms limits liability that cannot be limited under Indian law.

You agree to indemnify and hold NAP Designs harmless from any claim, loss, or expense (including reasonable legal fees) arising from your Source Content, your breach of these Terms, or your violation of applicable law or a third party’s rights.

These Terms are governed by the laws of India, without regard to conflict-of-law principles. Subject to applicable law, the courts of Bengaluru, Karnataka have exclusive jurisdiction over any dispute arising from these Terms or the Service. Before filing a claim, we encourage you to contact us at hello@napdesigns.com so we can try to resolve it directly.

We may update these Terms from time to time. If we make material changes, we will update the “Last updated” date above and, where reasonably possible, notify you by email or in-app before the change takes effect. Continuing to use the Service after that constitutes acceptance of the updated Terms.

If any provision of these Terms is found unenforceable, the remaining provisions continue in full effect. These Terms, together with our Privacy Policy, constitute the entire agreement between you and NAP Designs regarding the Service and supersede any prior agreements on the subject. Our failure to enforce a provision is not a waiver of it.
